Replaced Table Sale and Transfer Agreement (for rebate option only):

In the exchange for the amount of $600, $700 or $800 as payment from Midmark Corporation, I hereby agree to sell and transfer my old table, as owned and/or used in my medical or clinical practice, to Midmark Corporation. I hereby acknowledge and certify one of the following disposal actions regarding the above table that has been purchased by Midmark Corporation:

I. it was picked up by Midmark's selling distributor

II. it was or will be donated within ten (10) business days of the date of this agreement to a charitable organization that is a qualified tax-exempt organization under section 501(c)(3) of the Internal Revenue Code;

III. it was or will be destroyed within ten business days of the date of this agreement through its complete disposal or delivery to: a trash disposal facility or service or a destructive recycling facility (for the purpose of recycling into raw materials); or it was or will be destroyed within ten business days of the date of this agreement through its complete disposal or

IV. it will otherwise be immediately and completely taken out of use in or for any clinical purpose whatsoever.

Redemption Instructions

2. Select the "Midmark 2011 Barrier-Free® Promotion" icon
3. Complete the information required on the form
4. Select whether the invoice will be uploaded or faxed to Midmark (937-526-7410)
5. Select "Terms and Conditions" and "Submit"

Upon each submission, a confirmation email will be sent for your records. Please keep the confirmation until incentives are received. Incentives must be submitted online by February 29, 2012.

This offer valid on eligible Midmark and Ritter Barrier-Free® Examination Tables purchased by a physician or medical facility through an authorized Midmark or Ritter dealer. MedSupplier.com is an authorized Midmark and Ritter by Midmark dealer.

Midmark must receive a copy of end user invoice (stating the physician's name and date purchased). Incentive will not be processed until invoice is received.

This offer constitutes a discount or reduction in price on the purchased product(s). Buyer is obligated to: (i) fully and accurately disclose the amount of this discount in Buyer's cost reports or claims for reimbursement to Medicare, Medicaid, or other federal healthcare program that requires such disclosure; and (ii) provide documentation of the discount to representatives of the Secretary of the Department of Health and Human Services and state agencies upon request. Buyer may request additional information from Midmark in order to meet its reporting or disclosure obligations.

Customer shall be solely responsible for determining whether the savings or discounts it receives must be reported or passed on to payers.
